These Terms of Service (“Terms”) govern your access to and use of the SignalClose AI platform and services provided by SignalClose AI, Inc. (“SignalClose AI”, “we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using SignalClose AI, you agree to these Terms and our Privacy Policy. If you are using SignalClose AI on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use our services.

2. Description of Service

SignalClose AI is an AI-powered client acquisition platform that detects buying signals from publicly available sources, generates AI research briefs on prospects, and creates personalized outreach messages. The platform is designed for agencies and service-based businesses to streamline their client acquisition process.

3. Account Responsibilities

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You must be at least 18 years old to use our services

4. Payment Terms

Subscription Billing

SignalClose AI is offered on a subscription basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. All fees are quoted in US dollars.

Free Trial

New accounts receive a 14-day free trial. You will not be charged during the trial period. You may cancel at any time during the trial without obligation.

Refund Policy

If you are unsatisfied with our service, you may request a refund within 14 days of your first paid subscription charge. Refund requests after this period will be considered on a case-by-case basis. Contact us at hello@signalcloseai.com for refund requests.

5. Acceptable Use

You agree to use SignalClose AI responsibly and in compliance with all applicable laws. You may not:

  • Send unsolicited bulk communications (spam) in violation of applicable anti-spam laws
  • Violate CAN-SPAM Act, GDPR, CASL, Australian Spam Act, or any other applicable email marketing regulations
  • Use the platform to harass, threaten, or intimidate any person or organization
  • Misrepresent your identity or affiliation in outreach communications
  • Attempt to access, tamper with, or use non-public areas of the platform
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the platform for any unlawful purpose or to promote illegal activities
  • Exceed rate limits or attempt to circumvent usage restrictions

6. Intellectual Property

The SignalClose AI platform, including its software, design, trademarks, and documentation, is the intellectual property of SignalClose AI, Inc. You retain ownership of any data you input into the platform. We retain ownership of AI-generated content, research briefs, and outreach templates created by the platform, but grant you a license to use them for your business purposes.

7. Limitation of Liability

To the fullest extent permitted by law, SignalClose AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the platform. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

SignalClose AI does not guarantee specific results from using our platform. Response rates, meeting bookings, and client acquisition outcomes vary based on factors outside our control.

8. Disclaimer of Warranties

The platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, us, or third parties. Upon termination, your right to access the platform ceases, and we may delete your data in accordance with our Privacy Policy.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use of SignalClose AI after the effective date of any changes constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the platform shall be resolved in the state or federal courts located in Delaware.
